End User License Agreement

This Product Supplement applies to Trust365 and forms part of the Trustify Ltd End User Licence Agreement (“Master EULA“). All terms defined in the Master EULA have the same meaning in this Supplement. In the event of any conflict between this Supplement and the Master EULA, this Supplement shall prevail with respect to Trust365.

1. Application

This Supplement applies to all users of Trust365, Trustify’s cybersecurity platform for endpoint protection across devices, users, and cloud applications.

2. End Users

Each mailbox account associated with Microsoft 365 or Google Workspace integrations that is active within Trust365’s Identity Threat Detection & Response (ITDR) Security Control shall be deemed an “End User” for licensing purposes.

3. All Claims

You agree that you will bring all claims arising out of your use of endpoint protection functionality as integrated with Trust365 against Trustify and will not make any claim directly against Trustify’s third-party providers. You agree that such third-party providers have no obligation or liability to you.

4. Warranties and Liability

4.1 AS IS Provision

Trust365 and all incorporated third-party components are provided “AS IS” without warranty of any kind. Trustify and its suppliers disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

4.2 Limitation of Liability

In addition to the liability limitations set forth in the Master EULA, you acknowledge and agree that:

(a) The warranties, liability limitations, and disclaimers set forth in the incorporated third-party terms apply to your use of Trust365;

(b) Security evaluations and threat assessments provided through Trust365 represent point-in-time evaluations and may change due to evolving security landscapes, system updates, or configuration changes; and

(c) No single security tool or evaluation can ensure complete security of your systems, applications, or networks.

5. Insurance

5.1 Trust365 software is provided by Trustify Ltd. Trustify Ltd has arranged for cyber insurance coverage to be made available to eligible Trust365 customers through Datasurance Ltd. In this arrangement:

(a) Trustify Ltd provides the Trust365 software and manages your software subscription;

(b) Datasurance Ltd is an Appointed Representative of Marsh Ltd;

(c) Marsh Ltd is the FCA-authorised principal under whose regulatory permissions Datasurance Ltd operates. Marsh Commercial is a trading name of Marsh Ltd. Marsh Ltd is authorised and regulated by the Financial Conduct Authority for General Insurance Distribution and Credit Broking (Firm Reference No. 307511). Marsh Ltd registered in England and Wales Number: 1507274, Registered office: 1 Tower Place West, Tower Place, London EC3R 5BU; and

(d) Beazley Insurance DAC is the insurer that underwrites the cyber insurance policy

5.2 This insurance coverage is included with your Trust365 subscription at no additional cost to you, subject to meeting the eligibility requirements set by the insurer.

5.3 The relationship between you and Datasurance Ltd in connection with the insurance coverage is governed by a separate Terms of Business Agreement (TOBA), which is provided during the insurance application process.

6. Notice Periods

Termination If you wish to terminate your Trust365 service contract, you must provide 30 days’ written notice to office@trust365.com.

Non-Renewal If you do not wish to renew your Trust365 service contract at the end of the contract term, you must provide 30 days’ written notice to office@trust365.com prior to the renewal date. If no notice of non-renewal is given within this timeframe, your Trust365 service contract will automatically renew for a further term.
